These Terms & Conditions (“Terms”) govern your access to and use of Fixory’s websites, applications, software, APIs, tools, content, and any related services (collectively, the “Services”) operated by Fixory Inc, a CA corporation (“Fixory,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, do not access or use the Services.

1. FIXORY’S ROLE

Fixory provides a technology platform that may facilitate connections, information, tools, or workflows between users and third parties. Fixory does not perform, control, supervise, guarantee, or assume responsibility for any third-party services, actions, outcomes, or results.

You acknowledge that Fixory is not a service provider, contractor, agent, partner, or fiduciary of any user or third party.

2. USE AT YOUR OWN RISK

Your use of the Services is entirely at your own risk. You assume full responsibility for:

• Any decisions made based on the Services
• Any interactions with other users or third parties
• Any outcomes, losses, or damages arising from use of the Services

Fixory makes no representations regarding results, reliability, or suitability.

3. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

FIXORY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, COMPLETENESS, OR RELIABILITY
• AVAILABILITY, SECURITY, OR ERROR-FREE OPERATION

Fixory does not warrant that the Services will meet your requirements or that defects will be corrected.

4. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL FIXORY BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS, CONTRACTS, OR GOODWILL
• BUSINESS INTERRUPTION, SYSTEM FAILURE, OR SECURITY BREACH
• PERSONAL OR COMMERCIAL LOSSES OF ANY KIND

ARISING OUT OF OR RELATING TO:

• USE OR INABILITY TO USE THE SERVICES
• ERRORS, OMISSIONS, OR INACCURACIES
• THIRD-PARTY CONDUCT OR CONTENT
• UNAUTHORIZED ACCESS OR DATA LOSS

REGARDLESS OF LEGAL THEORY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF FIXORY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. LIABILITY CAP

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIXORY’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF:

• USD $100, OR
• THE AMOUNT PAID BY YOU TO FIXORY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

This limitation applies collectively to Fixory and its officers, directors, employees, and affiliates.

6. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Fixory from and against all claims, damages, liabilities, losses, and expenses (including attorneys’ fees) arising from or related to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any law or third-party rights
• Any content, data, or information you submit

7. THIRD-PARTY SERVICES & CONTENT

The Services may reference or link to third-party products, services, or content. Fixory does not endorse, control, or assume liability for any third-party offerings. Your dealings with third parties are solely between you and them.

8. NO PROFESSIONAL OR GUARANTEED ADVICE

Fixory does not provide legal, financial or technical advice. Any information provided is for general informational purposes only and is not guaranteed.

9. TERMINATION

Fixory may suspend or terminate access to the Services at any time, with or without notice, for any reason or no reason, without liability.

10. GOVERNING LAW & VENUE

These Terms are governed by the laws of California, without regard to conflict-of-law principles. You agree that all disputes shall be brought exclusively in the courts located in Alameda County, California.

11. SEVERABILITY

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

12. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Fixory Inc. regarding the Services and supersede all prior agreements or understandings.

13. MOBILE APPLICATION PURCHASES

The Fixory mobile applications for iOS and Android are companion apps. Paid memberships, subscriptions, add-on products, and wallet top-ups are completed through the Fixory website. They are not offered or completed within the mobile applications, and Apple In-App Purchase is not used or required for any Fixory service.

Entitlements and access purchased on the Fixory website are recognized in the mobile applications when you sign in with the same account. An existing wallet balance may be applied to eligible charges from within the mobile applications, but wallet top-ups must be completed on the Fixory website.
